Agreement

These Terms of Service (“Terms”) form a binding legal contract between you (“User”, “you”) and Teckwik Technologies, a technology company registered in Nigeria (“Teckwik Technologies”, “we”, “us”). They govern your access to and use of Teckwik Mobility Infrastructure (also known as “T-Mobility”), including our websites, Progressive Web Apps (PWAs), mobile applications, and related mobility offerings (together, the “Platform”) within the Federal Republic of Nigeria.

By creating an account, requesting, accepting, or operating trips through the Platform, or continuing to access our digital infrastructure, you confirm that you have read, understood, and agree to these Terms, our Privacy Policy, and our Cookie Policy. If you install our mobile or Progressive Web App clients, you also agree to the End User Licence Agreement (EULA).

If you do not agree to these Terms, you must immediately cease accessing or using the Platform.

Eligibility and Accounts

You must be at least eighteen (18) years old and possess the legal capacity to enter into a binding agreement under Nigerian law. You agree to provide true, accurate, and complete information during registration and to promptly update your profile whenever your details change.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately at support@teckwik.com if you detect or suspect any unauthorized access or security compromise of your account.

Nature of the Platform

Teckwik Mobility Infrastructure provides an intermediary digital transit marketplace and operating infrastructure connecting independent drivers and commercial fleet partners with riders seeking transportation services in Nigerian metropolitan areas.

Unless expressly stated otherwise in writing, Teckwik Technologies does not itself operate as a transportation carrier or provide transportation services. Drivers operate as independent third-party contractors or as employees of independent fleet owners under their respective business agreements.

Service availability, estimated arrival times (ETAs), vehicle categories, and operational corridors may vary by state and city and are subject to real-time traffic conditions, dispatch algorithms, and our 5-Minute Maximum Waiting Time SLA guarantee.

Fares, Payments, and Taxes

• Upfront Pricing: Fares are quoted in Nigerian Naira (₦) through the Platform prior to trip confirmation, based on base fare, distance, duration, and dynamic multipliers where applicable.
• Tolls & Levies: Route-specific bridge tolls (e.g. Lekki-Ikoyi Link Bridge), airport access tariffs, and interstate transit surcharges are itemized and included in the final settlement where applicable.
• Partner Economics & Commission: Teckwik Technologies retains a standard 15% platform infrastructure fee from total trip fares. The remaining 85% is disbursed directly to driver-partners or fleet managers.
• Payment Methods: You authorize Teckwik Technologies and its regulated payment partners (Paystack, Flutterwave) to charge your designated payment method (debit card, bank transfer, or wallet balance) for completed trips, cancellation charges, tolls, and legitimate cleaning or damage fees.
• Refunds & Disputes: In-app fare adjustments or refunds are evaluated based on GPS telemetry, recorded trip routes, and communication logs.
• Taxes: Users are responsible for applicable statutory taxes (including Value Added Tax (VAT) where chargeable), except where collected and remitted at checkout in compliance with Nigerian tax regulations.

Conduct and Acceptable Use

To ensure safety and respect across our ecosystem, you agree not to:

• Use the Platform for any unlawful, fraudulent, harassing, discriminatory, or dangerous purpose.
• Impersonate any individual or entity, or falsify your identity or credentials.
• Solicit or conduct off-Platform cash trips to evade platform commissions, which voids all platform insurance coverage and Rapid SOS safety protocols.
• Interfere with Platform security, reverse engineer code, scrape data without written consent, or inject malicious code into client applications.
• Transport prohibited items, including firearms, weapons, illegal narcotics, or combustible hazardous materials.
• Exceed legal vehicle passenger capacity or demand that drivers violate Nigerian traffic regulations.

Teckwik Technologies maintains a strict zero-tolerance policy for violence, intimidation, or harassment. Violations result in immediate and permanent account deactivation.

Drivers, Fleets, and Corporate Accounts

Drivers and fleet owners must complete verified onboarding workflows, submitting valid FRSC driver's licenses, proof of vehicle roadworthiness, National Identity Numbers (NIN), and Bank Verification Numbers (BVN) before receiving dispatch offers. Corporate clients and enterprise fleet administrators agree to supplemental Teckwik Mobility Business agreements executed at enterprise signup.

Cancellations and Disputes

Riders may cancel an on-demand ride request free of charge within two (2) minutes of driver acceptance. Cancellations made after two minutes, or rider no-shows exceeding five (5) minutes after driver arrival at the pickup point, may incur a standard cancellation fee to compensate the driver for fuel and transit time.

Disputes regarding fares, driver behavior, lost property, or vehicle cleanliness must be submitted via in-app support within seven (7) days of trip completion with supporting evidence.

Intellectual Property

All rights, title, and interest in and to Teckwik Mobility Infrastructure, including all software code, spatial routing algorithms, visual brand identities, trademarks, UI designs, and documentation, remain the exclusive property of Teckwik Technologies or its licensors. You are granted only a limited, non-exclusive, revocable licence to access the Platform in accordance with these Terms and our EULA.

Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis to the maximum extent permitted under Nigerian law. Teckwik Technologies expressly disclaims all representations and warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

Nothing in these Terms limits or excludes liability that cannot be excluded under the laws of the Federal Republic of Nigeria, including liability for death or personal injury caused by proven gross negligence or fraud.

Subject to applicable law, Teckwik Technologies and its officers, directors, employees, and affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages (including loss of profits, loss of data, personal injury, or property damage) arising out of or in connection with the Platform.

Our total aggregate liability arising from or related to the Platform in any twelve (12)-month period shall not exceed the greater of (a) the total platform infrastructure fees paid by you to Teckwik Technologies during that period, or (b) ₦50,000 (Fifty Thousand Nigerian Naira), unless mandatory statutory consumer protection laws mandate a higher threshold.

Indemnification

You agree to defend, indemnify, and hold harmless Teckwik Technologies, its subsidiaries, affiliates, officers, directors, and employees from and against any third-party claims, demands, losses, liabilities, fines, and expenses (including reasonable legal fees) arising out of your violation of these Terms, your misuse of the Platform, or your infringement of any rights of another party.

Suspension and Termination

We may immediately suspend or terminate your account and access to the Platform if you breach these Terms, engage in fraudulent activity, pose a safety threat to other users, or where required by law enforcement or regulatory authorities. You may terminate your account at any time via in-app profile settings.

Force Majeure

Teckwik Technologies shall not be held liable for any delay or failure in performance resulting from events beyond our reasonable control, including acts of God, extreme weather, civil unrest, telecommunications network outages, fuel shortages, labor strikes, or government transport directives.

Governing Law and Dispute Resolution

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria. Any dispute or controversy arising out of or relating to these Terms or the Platform shall first be submitted to good-faith mediation. If unresolved through mediation, the dispute shall be resolved by courts of competent jurisdiction in Nigeria, or through binding arbitration under the Arbitration and Mediation Act 2023 of Nigeria.

Miscellaneous

If any provision of these Terms is deemed unlawful or unenforceable, that provision shall be severed without affecting the validity of the remaining provisions. Our failure to enforce any right or provision does not constitute a waiver. You may not assign your rights under these Terms without our prior written consent; Teckwik Technologies may assign these Terms upon reasonable notice in connection with a corporate restructuring or asset sale.
