End User Licence Agreement (EULA)

Parties and Acceptance

This End User Licence Agreement (“EULA”) is a legally binding contract between you (“you” or “User”) and Teckwik Technologies (“Licensor”, “we”, “us”), governing your installation, access, and use of the Teckwik Mobility Infrastructure (T-Mobility) mobile application(s), Progressive Web Apps (PWAs), client interfaces, and any software updates we distribute for those clients (together, the “Licensed Software”).

By downloading, installing, accessing, or using the Licensed Software, you agree to be bound by the terms of this EULA. If you do not agree to this EULA, do not install, access, or use the Licensed Software.

Use of mobility services accessed through the Licensed Software remains subject to our Terms of Service, our Privacy Policy, and our Cookie Policy, which are incorporated herein by reference.

Licence Grant

Subject to your strict compliance with this EULA and the Terms of Service, Licensor grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to install and execute object-code copies of the Licensed Software on devices you own or control, solely to access authorized Teckwik Mobility Infrastructure services for your personal use or for your authorized business use under an active enterprise agreement.

You may not rent, lease, lend, sell, redistribute, or sublicense the Licensed Software except where application storefront rules expressly permit family or device-based sharing administered directly by the storefront operator.

Restrictions

Except to the extent permitted by mandatory statutory law, you must not:

• Copy, modify, translate, adapt, disassemble, or create derivative works from the Licensed Software.
• Reverse engineer, decompile, or attempt to derive the underlying source code of our routing algorithms, spatial dispatch engines, or proprietary protocols.
• Circumvent technical protections, geofences, dispatch quotas, security tokens, or anti-fraud telemetry mechanisms.
• Remove, alter, or obscure any proprietary copyright, trademark, or legal notices on or within the Licensed Software.
• Use the Licensed Software to construct or train a competing mobility platform, train machine learning models without express consent, or perform unauthorized load-testing against our servers.
• Distribute malicious code, spyware, or modified builds purporting to represent Teckwik Mobility Infrastructure.

Updates

Licensor may from time to time release patches, enhancements, features, or security fixes (“Updates”). In Progressive Web App and client configurations, certain Updates may install automatically to maintain platform security and operational reliability. Updates form an integral part of the Licensed Software and remain governed by this EULA unless accompanied by separate terms at deployment time.

Third-Party Materials

The Licensed Software integrates certain third-party software, fonts, payment SDKs (Paystack, Flutterwave), mapping engines (MapLibre GL), and open-source libraries. Such components are subject to their respective open-source and proprietary licenses, and nothing in this EULA restricts rights granted under applicable open-source licenses.

Consent to Use of Information

Information collected via the Licensed Software—including hardware identifiers, spatial GPS coordinates, route telemetry, and crash diagnostics—is processed in accordance with our Privacy Policy and applicable Nigerian data protection regulations. Location telemetry is collected only with permissions granted through your device operating system or browser.

Reservation of Rights

As between you and Licensor, Teckwik Technologies and its licensors retain all right, title, and interest in and to the Licensed Software, brand identities, logos, geospatial algorithms, database structures, APIs, and UI designs. Except for the express limited licence granted herein, no intellectual property rights are conferred upon you.

Term and Termination

This licence is effective until terminated. Your rights under this EULA terminate automatically without notice if you fail to comply with any material provision. Upon termination, you must cease all use of the Licensed Software and remove all copies residing on devices you own or control.

Disclaimer of Warranties

To the fullest extent permitted by Nigerian law, the Licensed Software is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, or uninterrupted, bug-free performance.

Limitation of Liability

Nothing in this EULA limits liability that cannot legally be limited under Nigerian law. To the maximum extent permitted by law, Teckwik Technologies shall not be liable for any indirect, special, incidental, punitive, or consequential damages (including lost profits, lost data, device malfunction, or business interruption) resulting from use or inability to use the Licensed Software.

In no event shall Licensor's aggregate liability under this EULA exceed the amount paid by you specifically for downloadable software licences during the preceding twelve (12) months, or ₦50,000 (Fifty Thousand Nigerian Naira), whichever is greater.

Indemnification

You agree to defend, indemnify, and hold harmless Teckwik Technologies, its directors, officers, employees, and agents from any claims, damages, liabilities, and expenses arising out of your unlawful use or willful misuse of the Licensed Software contrary to this agreement.

Import and Export Controls

You represent and warrant that you are not located in a territory subject to trade sanctions or statutory prohibitions that would preclude download or operation of the Licensed Software, and that your use adheres strictly to the laws and regulations of the Federal Republic of Nigeria.

Governing Law

This EULA is governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Disputes arising under this EULA shall be resolved by courts of competent jurisdiction located in Nigeria.

Commercial Users

If you install or use the Licensed Software on behalf of a corporate enterprise, commercial fleet, government agency, or logistics operator, you represent that you possess authority to bind that entity to this EULA, and master enterprise service agreements prevail where conflicting.

Relationship to Storefront Terms

Where the Licensed Software is obtained through digital distribution channels such as the Apple App Store or Google Play, the respective storefront terms apply solely with respect to distribution, storefront account billing, and platform hosting provided by Apple or Google.

Changes

We may amend this EULA from time to time by publishing revised terms on our website or within application release notes. Continued access or use following notice signifies your acceptance of the updated terms.
